Join Professor Michael Adams and Tony de Govrik, In-house Legal Advisor, A C de Govrik & Associates, for a practical examination of the landmark James Hardie litigation, which began in the NSW Supreme Court in 2009 and culminated in a High Court decision in 2012. Through an analysis of these seminal cases, presenters will explore the lessons learned for in-house legal teams and governance professionals.
The session will also examine how the law and practice surrounding dual-hatted roles have evolved in the years since these decisions, including considerations relating to the definition of an "officer" under the Corporations Act 2001.
Attendees will gain practical insights into where the responsibilities of general counsel and company secretary converge, where potential conflicts may arise, and how to navigate competing duties while maintaining effective corporate governance.
